    Need background on corporate governance issues? A useful one-stop shop is The Corporate Library, an easy-to-use resource covering all aspects of corporate governance. Users can determine membership and structure of corporate boards, explore details of shareholder proxy proposals, and dive into a wealth of other information.

    Researching Corporate Governance on The Corporate Library

    The Corporate Library is the free-access portion of www.boardanalyst.com. While lacking the sophisticated screening tools and detailed reporting features of its subscription-based parent, The Corporate Library is still a useful and informative Web site covering all aspects of corporate governance.

    Users can examine the membership and structure of corporate boards, as well as explore details of shareholder proxy proposals, and a wealth of academic research on governance issues.

    Information can be accessed by company name, director name, topic (e.g. compensation, accounting), and even scandal name—yes, informative and handy updates help you keep track of current corporate scandals.

    Topical areas include special purpose entities, CEO compensation, and the Sarbanes-Oxley Act. There is also a section describing corporate governance rules and issues in fifty-five countries. The site also has an index and reviews of academic articles on corporate governance.

    There are links to current news and magazine articles of interest, as well as links to resources and organizations covering all aspects of corporate governance issues. Here you can find links to FASB standards, summaries of pro forma reporting proposals, articles on stock option expensing, and dozens of shareholder and corporate responsibility sites.

    Well organized and updated weekly, the site is a "must bookmark" for anyone attempting to follow the rapidly changing regulatory and ethical issues surrounding corporate America.
